Preparing to launch a Russian brand in the Philippines

What to check before franchise negotiations: brand rights, a local operator, format, location and project economics.

The short answer

Preparation starts with brand rights, the operating model and the local partner's role. Next, assess the market, location and economics of the specific project. Discussing a brand does not itself establish franchise or territorial rights.

Clarify the rights and scope of negotiations

Identify the rights holder and who is authorised to discuss entry into a new market. Define the scope: a single outlet, several locations or a territorial arrangement.

Review trademark protection in the Philippines and use conditions with specialists. Official trademark information is available from the Intellectual Property Office of the Philippines. Any named brand should be treated as an example for exploration until rights are confirmed.

Define the roles of the brand, investor and operator

The brand defines the concept and standards. The investor sets participation parameters. The operator handles an agreed range of local tasks. Roles may overlap within a project, but each party's responsibilities must be clear.

Discuss training, procurement, staff management, quality control and data sharing. Clarify which decisions the local team can make and which require the rights holder's approval.

Assess the format and location

Compare proposed cities and districts, customer audiences, competition and available premises. Assess space, equipment, supply and staffing requirements for the selected format.

Agree on product-range, design and service adaptations with the brand. Test assumptions against data for a specific location; general market appeal does not determine the outcome of an individual outlet.

Build the project economics line by line

Separate launch investment from monthly expenses. Include premises, equipment, staff, supplies, rights-holder payments and working capital. Review contractual terms and applicable requirements with specialists.

Model several revenue and cost scenarios. Before making commitments, agree which assumptions still need testing and who will obtain the data.

  • Rights holder and stage of rights negotiations.
  • City, outlet format and proposed location.
  • The roles of the investor and local operator.
  • Budget, funding sources and proposed timeline.
